Who provides the service and key terms
The service is provided by the administrator of the acquisitions.ai service, reachable at [email protected]. In these terms, "we" means the administrator, "you" means the person or company using the service, a "seller" is a user who lists a business or asset, a "buyer" is a user who searches for, requests information about or makes offers on a listing, and a "deal" is a transaction negotiated between a buyer and a seller.
What Acquisitions is and is not
Acquisitions is a listing and deal-workflow platform. It lets sellers list AI businesses and assets, lets buyers find and review them, and provides tools for NDAs, messages, offers, letters of intent, checklists and handover.
- Acquisitions is not a broker-dealer and does not act as an agent, broker or intermediary for either side of a deal.
- Acquisitions is not an investment adviser and does not provide investment, legal, tax or accounting advice. Nothing on the service is a recommendation to buy or sell any business, security or asset.
- Acquisitions is not a party to any deal between users. Buyers and sellers negotiate and sign their own agreements and are responsible for them.
- Acquisitions does not hold, receive or transfer funds for deals.
You should obtain your own professional advice before entering into any deal.
Your account
You must be at least 18 and able to enter into a binding contract. You give accurate information, keep your password secure and are responsible for activity on your account. On plans with several seats, the account owner is responsible for the users it invites and the roles it assigns. Tell us at [email protected] if you suspect unauthorized access.
Plans, subscriptions and renewal
The service is offered on subscription plans. Buyer plans are Scout, Acquirer and Fund. Seller plans are List, Featured and Portfolio. The features and prices of each plan are shown on the Pricing for buyers and sellers page at the time you subscribe.
- Plans are billed monthly or annually in USD, in advance for each billing period.
- Subscriptions renew automatically at the end of each billing period until you cancel.
- You can cancel renewal at any time in your account. Your plan stays active until the end of the period you already paid for.
- When you move to a higher plan or from monthly to annual billing, the price difference for the current period is charged at once, and the new plan starts after that payment succeeds.
- When you move to a lower plan, the change takes effect from the next billing period.
- We may change prices for future billing periods. We notify you by email before a new price applies to your subscription, and you can cancel before it takes effect.
There is no free plan. The one-time valuation estimate available without an account is a demonstration of the service, not a plan.
Usage limits
Plan limits, including valuation estimates, NDA requests and active listings, are counted as usage per billing period. Deleting an estimate, withdrawing an NDA request or removing a listing does not return it to your quota. Unused usage does not carry over to the next period. Limits reset at the start of each new billing period.
Payments are final
Payments for subscriptions are final once the billing period starts. Cancelling stops future renewals but does not reverse a charge already made. We refund a payment only in these cases.
- A duplicate charge for the same billing period.
- A charge that is proven to be unauthorized.
- A complete failure of the service that makes it unavailable for the paid period for reasons on our side.
To report one of these cases, write to [email protected] from the email linked to your account, with the date and amount of the charge.
Consumers in the European Union
The service is intended for business use. If you are a consumer in the European Union, you have a statutory right to withdraw from a distance contract within the period set by law. When you subscribe, you ask us to start providing the service at once and acknowledge that your right of withdrawal ends once the service has been fully provided or, for digital content and services, once performance has started with your consent. If you subscribe without giving that consent, you keep the statutory right of withdrawal for the period the law provides.
Success fees
On the List and Featured plans, a success fee applies to deals that a seller closes through the escrow route offered on the service, at the rate shown for the plan at the time the deal closes (3% on List, 1.5% on Featured). The Portfolio plan has no success fee. The fee is calculated on the purchase price paid through escrow and is settled as part of the escrow release. Buyers do not pay a success fee.
Listings and seller responsibility
Sellers are solely responsible for the accuracy, completeness and legality of their listings, including descriptions, financial information, ownership of assets and the right to sell them. Listings are not exclusive, and a seller may offer the same business elsewhere if other platforms allow it. A seller must not list a business or asset it does not own or have authority to sell. We may review, edit for format, suspend or remove a listing that appears misleading, unlawful or in breach of these terms.
Read-only verification
A seller may connect a payment processor and analytics account with read-only access, so that selected metrics on the listing are shown with their source. Verified metrics reflect the data in the connected account at the time it was read. Verification confirms the source of a metric. It does not audit the business, guarantee future results or detect every form of manipulation. Buyers remain responsible for their own due diligence.
Valuation estimates
Valuation estimates are indicative ranges generated from public market data and the figures a user enters. They are not appraisals, fairness opinions or investment advice, they are not a guarantee of any sale price, and they must not be relied on as the sole basis for any decision. Actual prices depend on negotiation between buyer and seller.
NDAs, messages and confidential information
NDAs signed through the service are agreements between the buyer and the seller. We provide the template and the signing workflow but are not a party to the NDA. Buyers must use confidential information received after an NDA only to evaluate the deal and must not contact the seller's customers, staff or partners without the seller's consent.
Escrow
When buyer and seller choose the escrow route, the purchase price is held and released by an independent licensed escrow provider under its own terms, which both parties accept separately. Acquisitions does not hold funds and is not responsible for the escrow provider's services. Users must not ask for or make deal payments outside the escrow route in a way that avoids success fees agreed in these terms.
Acceptable use
You agree not to:
- post false, misleading or unlawful information, or list assets obtained unlawfully;
- impersonate another person or misrepresent your identity, plan or intentions;
- scrape, copy or resell listing data, or use it to contact sellers outside the service in breach of an NDA;
- attempt to gain unauthorized access to accounts, connections or systems, or interfere with the service;
- use the service for money laundering, fraud, sanctions evasion or any other unlawful purpose;
- send spam or unsolicited promotions through messages.
We may suspend or close accounts that break these rules.
Intellectual property
The service, its software, design and content belong to the administrator or its licensors. You keep the rights to the content you add and give us a license to host, display and process it to provide the service. You may not copy or reuse the service except as these terms allow.
Liability
The service is provided as is and as available. To the extent the law allows, we do not guarantee that listings, metrics or estimates are accurate, complete or suitable for your purposes, or that any deal will close. To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or losses arising from deals between users, and our total liability for any claim is limited to the subscription fees you paid in the 12 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law, including rights consumers have under mandatory law.
Suspension and termination
You can close your account at any time by writing to [email protected]. We may suspend or close an account that breaches these terms, after notice where this is reasonable. Sections on payments, liability, confidentiality and intellectual property continue to apply after termination.
Changes to these terms
We may update these terms when the service or the law changes. The date at the top shows the latest version. For significant changes we notify account holders by email before they take effect. Continuing to use the service after that date means you accept the updated terms.
