What a sponsor needs that a single buyer does not
A one-off buyer opens one room. A sponsor runs a pipeline, and the room becomes part of how capital partners judge the process.
- One room per target, kept separate. Documents from a deal you pass on must not sit next to the one you close.
- Outside parties at every stage. Capital partners, lenders, counsel, accountants and the seller's broker all need scoped access, often for a few weeks only.
- Expiring links and a view log. When a partner asks whether the lender opened the financials, you want the answer in one screen.
- A repeatable checklist. The same request list, adjusted per industry, saves days at the start of every deal. See due diligence checklist for a starting structure.
- Review, not only storage. A sponsor reads many more data sets than an operator and has less time per set.
Flat plans against per project quotes
| Model | How it prices | What happens across a pipeline |
|---|---|---|
| Acquisitions Deal | 149 USD per month, published | Good for one deal at a time |
| Acquisitions Team | 299 USD per month, five active rooms, ten seats | Covers parallel deals with a single bill |
| Acquisitions Fund | 599 USD per month, 25 rooms, unlimited seats, SSO | For a sponsor group or fund running many reviews |
| Enterprise rooms | Quoted per project after a sales call | Each new target is a new quote. See Intralinks and Datasite comparisons |
We do not quote competitor prices because they are not public. Ask each vendor for a written quote for the same number of deals, users and months, then compare totals. The virtual data room cost guide explains the four pricing models.
Three targets in a quarter
A sponsor reviews three targets in a quarter, drops one at the first red flag and closes one. On a per project quote, three rooms mean three quotes, even for the deal that dies in two weeks. On Team at 299 USD per month, the quarter costs 897 USD at monthly billing, and the abandoned deal costs nothing extra. At the annual rate the same plan averages half that per month. The cheap failure is the point. A sponsor's pipeline has more dead ends than closings, so the pricing model matters more than the headline rate.
Faster first pass on every target
Most dead deals die on something visible in the documents: a customer concentration, a change of control clause, margins that do not match the reported numbers. Acquisitions runs an AI review across financial statements and contracts and returns red flags you can turn into seller questions. It highlights potential issues and your advisors decide what they mean for price. If the seller sends scanned statements, a bank statement to Excel converter gets the transactions into a sheet you can reconcile against reported revenue. For the contract side see AI contract review and for the financial side financial due diligence.
Before you subscribe
1. Confirm the price in writing for your number of deals, users and months.
2. Confirm that partners, lawyers and the seller's broker can join without a paid seat.
3. Test permissions with a dummy folder and a restricted guest.
4. Upload one real contract and one financial statement and see what comes back.
5. Check how you export the Q&A log and the findings for your capital partners.
If the target is a search fund style deal, the search funds page covers the process end to end.
FAQ
The best room for an independent sponsor has a published price, a plan that scales from one deal to several, no per-seat fees for the seller's side and a way to review documents beyond storage. Acquisitions Deal at 149 USD per month, or Team at 299 USD per month for parallel deals, fits that profile.
Budget about 450 to 900 USD for one deal over three months on a flat plan, or 299 USD per month for several parallel deals. Enterprise vendors quote per project, often in the low thousands. Ask each vendor to price the same duration, users and storage.
Use a data room once a lender, counsel or capital partner joins. A shared drive lacks a reliable audit trail and per folder permissions. A room shows what was shared with whom, and keeps Q&A and findings in one place.
Yes. On Acquisitions, invited parties such as capital partners, lawyers and accountants can view and upload without a paid seat. Only your own team uses seats on your plan.
